Tony AI End User License Agreement (EULA)

IMPORTANT: By downloading, installing, or using Tony AI, you agree to be bound by this End User License Agreement. If you do not agree, do not use the application.
1. License Grant
Companions Co., Ltd. ("Licensor", "we", "us") grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Tony AI application ("App") on your personal mobile device for personal, non-commercial purposes, subject to the terms of this Agreement.

3. License Restrictions
You may NOT:
- Copy, modify, distribute, sell, or lease any part of the App
- Reverse-engineer, decompile, or disassemble the App, except as permitted by applicable law
- Remove or alter any proprietary notices, labels, or marks on the App
- Use the App in any way that violates applicable local, national, or international laws
- Use automated scripts or bots to interact with the App
- Attempt to gain unauthorized access to the App's servers or systems
4. AI-Generated Content Ownership
- Content you create using Tony AI's AI tools (text, images) is yours to use, subject to the terms of the underlying AI providers (Google Gemini, fal.ai).
- We make no claim of ownership over content you generate using the App.
- You are solely responsible for ensuring your use of AI-generated content complies with applicable laws and does not infringe on third-party rights.
- AI-generated content is provided "as-is" without guarantees of accuracy, originality, or fitness for any particular purpose.
5. Telegram Protocol
Tony AI uses the Telegram messaging protocol under the GPLv2 open-source license for chat functionality. Your use of messaging features is additionally subject to Telegram's Terms of Service. The Telegram protocol source code is available at telegram.org.
6. Free Service
- Tony AI is currently provided free of charge.
- We reserve the right to introduce paid features, subscriptions, or in-app purchases in the future with prior notice.
- AI tool usage may be subject to rate limits or usage quotas to ensure fair access for all users.
7. Updates
We may release updates to the App from time to time. Updates may include bug fixes, new features, or security patches. Some updates may be required for continued use of the App. You agree that we may automatically download and install updates to the App.
8. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- We do not warrant that the App will be uninterrupted, error-free, or secure.
- We do not warrant the accuracy or reliability of AI-generated content.
- We do not warrant the availability of third-party services (Telegram, Google Gemini, fal.ai).
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANIONS CO., LTD. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP.
Our total liability for any claim arising from this Agreement shall not exceed the amount you paid for the App (if any).
10. Termination
- This license is effective until terminated.
- We may terminate this license at any time if you violate any terms of this Agreement.
- You may terminate by uninstalling the App and deleting all copies.
- Upon termination, all rights granted under this Agreement cease immediately.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of the Republic of Korea.
12. Changes to This Agreement
We may update this EULA from time to time. We will notify you of material changes by posting the revised Agreement and updating the "Last updated" date. Continued use of the App after changes constitutes acceptance.

1. 라이선스 부여
(주)컴패니언즈 Companions Co., Ltd. ("라이선서", "당사")는 이용자에게 본 계약 조건에 따라 개인 모바일 기기에서 토니 AI 애플리케이션("앱")을 개인적, 비상업적 목적으로 다운로드, 설치 및 사용할 수 있는 제한적, 비독점적, 양도 불가, 철회 가능한 라이선스를 부여합니다.
2. 발행사 정보
토니 AI은 다음 회사에 의해 발행 및 운영됩니다:

3. 라이선스 제한
이용자는 다음 행위를 할 수 없습니다:
- 앱의 일부를 복사, 수정, 배포, 판매 또는 임대
- 관련 법령이 허용하는 경우를 제외하고 앱을 역설계, 디컴파일 또는 분해
- 앱의 독점적 고지, 레이블 또는 표시 제거 또는 변경
- 관련 국내·국제 법령을 위반하는 방식으로 앱 사용
- 자동화 스크립트 또는 봇을 사용하여 앱과 상호작용
- 앱의 서버 또는 시스템에 대한 무단 접근 시도
4. AI 생성 콘텐츠 소유권
- 토니 AI의 AI 도구를 사용하여 생성한 콘텐츠(텍스트, 이미지)는 기반 AI 제공업체(Google Gemini, fal.ai)의 이용약관에 따라 이용자에게 귀속됩니다.
- 당사는 이용자가 앱을 통해 생성한 콘텐츠에 대한 소유권을 주장하지 않습니다.
- 이용자는 AI 생성 콘텐츠의 사용이 관련 법령을 준수하고 제3자의 권리를 침해하지 않도록 할 전적인 책임을 집니다.
- AI 생성 콘텐츠는 정확성, 독창성 또는 특정 목적에 대한 적합성을 보장하지 않는 "있는 그대로"의 상태로 제공됩니다.
5. Telegram 프로토콜
토니 AI은 채팅 기능을 위해 GPLv2 오픈소스 라이선스 하에 Telegram 메시징 프로토콜을 사용합니다. 메시징 기능 사용은 Telegram 서비스 이용약관에도 적용됩니다. Telegram 프로토콜 소스 코드는 telegram.org에서 확인하실 수 있습니다.
6. 무료 서비스
- 토니 AI은 현재 무료로 제공됩니다.
- 당사는 사전 고지 후 향후 유료 기능, 구독 또는 인앱 구매를 도입할 권리를 보유합니다.
- 모든 이용자의 공정한 접근 보장을 위해 AI 도구 사용에 이용 한도 또는 사용량 제한이 적용될 수 있습니다.
7. 업데이트
당사는 수시로 앱 업데이트를 출시할 수 있습니다. 업데이트에는 버그 수정, 새로운 기능 또는 보안 패치가 포함될 수 있습니다. 일부 업데이트는 앱을 계속 사용하기 위해 필수적일 수 있습니다. 이용자는 당사가 앱 업데이트를 자동으로 다운로드하고 설치할 수 있음에 동의합니다.
8. 보증 부인
본 앱은 상품성, 특정 목적에 대한 적합성 및 비침해에 대한 묵시적 보증을 포함하되 이에 한정되지 않는 명시적 또는 묵시적 어떠한 종류의 보증도 없이 "있는 그대로" 및 "이용 가능한 상태로" 제공됩니다.
- 당사는 앱이 중단 없이, 오류 없이 또는 안전하게 운영될 것을 보증하지 않습니다.
- 당사는 AI 생성 콘텐츠의 정확성 또는 신뢰성을 보증하지 않습니다.
- 당사는 서드파티 서비스(Telegram, Google Gemini, fal.ai)의 가용성을 보증하지 않습니다.
9. 책임 제한
법률이 허용하는 최대 범위 내에서, (주)컴패니언즈 및 그 임원, 이사, 직원 및 대리인은 앱 사용으로 인한 간접적, 부수적, 특별, 결과적 또는 징벌적 손해에 대해 책임을 지지 않습니다.
본 계약으로부터 발생하는 모든 청구에 대한 당사의 총 책임은 이용자가 앱에 지불한 금액(있는 경우)을 초과하지 않습니다.
10. 계약 종료
- 본 라이선스는 종료 시까지 유효합니다.
- 이용자가 본 계약의 조건을 위반하는 경우 당사는 언제든지 라이선스를 종료할 수 있습니다.
- 이용자는 앱을 삭제하고 모든 복사본을 제거함으로써 라이선스를 종료할 수 있습니다.
- 종료 시 본 계약에 따라 부여된 모든 권리는 즉시 소멸됩니다.
11. 준거법
본 계약은 대한민국 법률에 따라 해석되고 적용됩니다. 본 계약으로부터 발생하는 모든 분쟁은 대한민국 법원의 전속 관할에 따릅니다.
12. 계약 변경
당사는 수시로 본 EULA를 업데이트할 수 있습니다. 중요한 변경 사항이 있는 경우 개정된 계약을 게시하고 "최종 수정일"을 업데이트하는 방식으로 고지합니다. 변경 후 앱을 계속 사용하는 것은 변경 사항에 동의하는 것으로 간주됩니다.
